1. About these terms

These Terms of Service ("Terms") govern your use of the NairaCoders marketplace, operated by NairaCoders ("NairaCoders", "we", "us") from Nigeria. By creating an account, posting a project, submitting a bid, or otherwise using the platform, you agree to these Terms.

NairaCoders is a venue that connects employers, providers, agencies, and enterprise buyers for digital work. We are not a party to the underlying service contracts between users, but we provide milestone escrow, workspace, evidence, and dispute tools that those contracts run on.

2. Accounts and eligibility

You must be at least 18 years old and able to form legally binding contracts under Nigerian law to use NairaCoders. You agree to provide accurate, current registration information and to keep it up to date.

You are responsible for safeguarding your credentials, passkeys, and two-factor devices, and for all activity that occurs under your account. If you suspect unauthorized access, email security@nairacoders.com immediately — see our Security Policy for how we protect accounts and handle reports.

During registration you select a role (Employer, Provider, Agency, or Enterprise buyer). Some features — posting projects, bidding, payouts, enterprise sourcing — depend on your role and verification status.

3. Projects, bids, and contract snapshots

Employers post projects with budgets, skill requirements, and timelines. Providers submit bids and counter-bids. When an employer accepts a bid, the agreed scope, price, milestones, and delivery terms are recorded as a contract snapshot in the project workspace.

The contract snapshot is the authoritative record of what was agreed. Users must not attempt to move work off-platform to evade escrow, verification, or fees.

4. Milestone escrow and payments

Employers fund milestones into escrow before work begins. Escrowed funds are released to the provider when the employer approves the milestone deliverables, or when a dispute resolution outcome directs release.

Payment rails may include bank transfer, card, and mobile money through licensed payment processors. Processor terms also apply to payment transactions. Payouts to providers are sent to verified bank or payout accounts.

NairaCoders charges service fees as published on the platform. We may update fees with reasonable notice; the fee in force when a contract snapshot is created applies to that contract.

5. Disputes and SabiResolve

If a milestone dispute arises, users may open a case in the SabiResolve chamber. SabiResolve is mediation-first: parties submit evidence and positions, a mediator facilitates settlement, and unresolved cases may proceed to a jury panel of qualified platform jurors.

Dispute outcomes may direct release of escrowed funds, refunds, or contract cancellation. Users agree to cooperate in good faith, respond within stated timeframes, and accept the final outcome of the process as binding on the release of escrowed funds.

6. Acceptable use

You agree not to: misrepresent your identity or work history; deliver plagiarized, infringing, or unlawful work; solicit payments outside escrow; scrape or overload the platform; interfere with disputes, juries, or evidence; or use the platform for prohibited categories of work including anything illegal under Nigerian law.

We may remove content, suspend accounts, hold payouts, and refer matters to law enforcement where these Terms or the law are violated.

7. Suspension and termination

You may close your account at any time, subject to completing obligations on active contracts and disputes. We may suspend or terminate accounts for breach of these Terms, risk or fraud signals, or legal requirements.

If an account is terminated with funds in escrow, those funds are dealt with according to the contract snapshots, dispute outcomes, and applicable law.

8. Disclaimers and limitation of liability

The platform is provided "as is" and "as available". While we verify identities and provide escrow and dispute tools, we do not guarantee the quality, safety, legality, or accuracy of work, listings, or users, and we do not warrant uninterrupted service.

To the maximum extent permitted by law, NairaCoders is not liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, or data, arising from your use of the platform. Our aggregate liability for direct damages is limited to the service fees you paid to us in the six (6) months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under Nigerian law.

9. Governing law and disputes with us

These Terms are governed by the laws of the Federal Republic of Nigeria. Subject to applicable mandatory consumer protections, the courts of Lagos State, Nigeria have exclusive jurisdiction over disputes between you and NairaCoders that are not resolved through good-faith negotiation.

Disputes between users about projects and milestones are handled through the platform's dispute process described in section 5.

10. Changes to these Terms

We may update these Terms as the platform evolves. Material changes will be announced on the platform or by email before they take effect. Continuing to use NairaCoders after changes take effect means you accept the updated Terms.
